Terms of Service

1. Acceptance of Terms

These Terms of Service ("Terms") form a binding agreement between you and Vadera Capital Corporation ("Vadera," "we," "us," or "our") governing your use of our website, applications, the Pulse analytics features, and related services (the "Services"). By creating an account or using the Services, you agree to these Terms and to our Privacy Policy, which is incorporated by reference. If you do not agree, do not use the Services.

2. Eligibility

Age requirements depend on the features you use. Banking and financial features — including deposit accounts, debit cards, lending, and verification — require you to be at least 18 years old and able to form a binding contract under applicable law. Pulse and social analytics features — including connecting social media accounts, generating a Pulse Score, and using your public profile link — are available to users who meet the minimum age required by the third-party Platform they are connecting. For example, if you are old enough to hold an Instagram or TikTok account under that platform's terms, you may connect that account to Pulse. You represent that you meet the applicable age requirement for each feature you use. If you use the Services on behalf of an entity, you represent that you are authorized to bind that entity, and "you" includes that entity.

3. Description of the Services

Vadera provides a financial technology platform that includes social analytics through the Pulse Score, business tools and integrations, and, where offered, access to banking and verification features provided by our partners. Vadera is not a bank. Banking services, where available, are provided by our sponsor bank partner, and any deposit insurance is provided through that partner subject to its terms and applicable conditions.

We may add, change, suspend, or discontinue features at any time. Some features depend on third-party Platforms and partners and are subject to their availability and terms.

4. Accounts and Security

You must provide accurate information and keep it current. You are responsible for safeguarding your credentials and for all activity under your account. Notify us promptly of any unauthorized use. We may suspend or terminate accounts that violate these Terms or present risk to the Services or other users.

5. Connected Accounts and Authorization

The Services let you connect third-party Platforms (such as Instagram, Facebook, TikTok, LinkedIn, YouTube, or X) through official authorization (OAuth). When you connect a Platform, you authorize Vadera to access, on a read-only basis and limited to the scopes you approve, the account data needed to provide the Services and compute your Pulse Score.

You represent that you have the right to connect each account and grant this authorization. Your use of each Platform remains subject to that Platform's own terms. You may disconnect any Platform at any time; doing so removes that Platform's inputs from your live score and stops further access.

6. License You Grant to Vadera

You grant Vadera a non-exclusive, worldwide, royalty-free license to host, store, process, analyze, and display the data you provide or connect, solely to operate and improve the Services, compute your Pulse Score, and provide features to you. You also grant Vadera the right to create De-Identified and Aggregated Data from that data and to use, share, license, and sell that De-Identified and Aggregated Data and products derived from it, as described in our Privacy Policy. Vadera does not sell or transfer your identifiable connected-account data to third parties.

7. Pulse Score - Nature and Limitations

The Pulse Score is a proprietary analytics metric produced from the data available to it. It is provided for informational purposes only.

• No guarantee - The Score reflects realized, measured performance and is an estimate, not a guarantee of any outcome, reach, revenue, or result.
• Proprietary method - The methodology, weights, and reference distributions are proprietary and may change. Scores are calibrated against frozen, versioned benchmarks and are not a live ranking of identifiable people.
• Not advice - The Score is not financial, credit, investment, or professional advice, and is not a credit score or a representation about creditworthiness.
• No purchased score - Connecting more accounts adds data, not guaranteed points. The Score does not award fixed bonuses for connections.

8. Acceptable Use

You agree not to:

• violate any law or any Platform's terms in connection with the Services;
• connect accounts you do not own or lack authority to connect;
• attempt to access, scrape, or interfere with the Services, other users' data, or our systems without authorization;
• reverse engineer, resell, or misappropriate the Services or the Pulse methodology; or
• use the Services to harass, defraud, or harm others, or to upload unlawful or infringing content.

9. Intellectual Property

The Services, including the Pulse Score, software, design, brand, and all related intellectual property, are owned by Vadera and its licensors and are protected by law. We grant you a limited, revocable, non-transferable license to use the Services for their intended purpose. You retain ownership of the content and data you own; this Section does not transfer your ownership, and Section 6 governs the license you grant us.

10. Third-Party Platforms and Services

The Services interoperate with third-party Platforms and partners. We do not control those third parties and are not responsible for their acts, omissions, availability, or terms. A Platform may change, limit, or revoke access to its data at any time, which may affect or disable related features. Your relationship with each Platform is governed by that Platform's terms.

11. Banking and Financial Features

Where banking, payment, or verification features are offered, they are provided by our sponsor bank partner and related providers, and are subject to their separate terms and to applicable law. Vadera is not a bank and does not itself take deposits or provide deposit insurance. Eligibility, features, and any insurance coverage are determined by the partner and applicable conditions.

12. Fees and Subscriptions

Some features may require payment. Applicable fees, billing terms, and renewal conditions will be disclosed at the point of purchase. Unless stated otherwise or required by law, fees are non-refundable. We may change fees prospectively with notice.

13. Disclaimers

THE SERVICES, INCLUDING THE PULSE SCORE, ARE PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE, OR THAT ANY SCORE OR INSIGHT WILL BE ACCURATE OR PRODUCE ANY RESULT.

14. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, VADERA AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, REVENUE, DATA, OR GOODWILL, ARISING OUT OF OR RELATING TO THE SERVICES. VADERA'S TOTAL LIABILITY FOR ALL CLAIMS RELATING TO THE SERVICES WILL NOT EXCEED THE GREATER OF THE AMOUNTS YOU PAID VADERA IN THE TWELVE MONTHS BEFORE THE CLAIM OR ONE HUNDRED U.S. DOLLARS ($100). SOME JURISDICTIONS DO NOT ALLOW CERTAIN LIMITATIONS, WHICH MAY NOT APPLY TO YOU.

15. Indemnification

You agree to indemnify and hold harmless Vadera and its officers, directors, employees, and agents from claims, losses, and expenses (including reasonable attorneys' fees) arising out of your use of the Services, your content or connected data, your violation of these Terms, or your violation of any law or third-party right, including any Platform's terms.

16. Dispute Resolution; Arbitration; Governing Law

Arbitration. Any dispute, claim, or controversy arising out of or relating to these Terms or the Services will be resolved by binding arbitration administered by the American Arbitration Association (AAA) under its Commercial Rules, before a single arbitrator, seated in Orange County, Florida. Judgment on the award may be entered in any court of competent jurisdiction.

Class waiver. Disputes will be resolved only on an individual basis. Class, collective, and representative proceedings are waived to the fullest extent permitted by law.

Governing law. These Terms are governed by the laws of the State of Florida, without regard to conflict-of-laws principles. For actions in aid of arbitration or for equitable relief, the parties consent to the exclusive jurisdiction of the state and federal courts located in Orange County, Florida.

Time limit. Any claim must be brought within one (1) year after it arises, except where applicable law requires a longer period.

17. Termination

You may stop using the Services and close your account at any time. We may suspend or terminate your access for any violation of these Terms, for risk or legal reasons, or where required. Provisions that by their nature should survive termination will survive, including Sections 6, 9, 13, 14, 15, 16, and 18.

18. Changes to These Terms

We may update these Terms from time to time. The "Effective Date" above reflects the latest version. Material changes will be communicated through the Services or by other reasonable means. Your continued use after an update constitutes acceptance of the revised Terms.

19. General

• Entire agreement - These Terms and the Privacy Policy are the entire agreement between you and Vadera regarding the Services.
• Severability - If any provision is held unenforceable, the rest remain in effect and the provision is enforced to the maximum extent permitted.
• Assignment - You may not assign these Terms without our consent; we may assign them in connection with a corporate transaction.
• No waiver - Our failure to enforce a provision is not a waiver of it.
• Notices - We will provide notices through the Services or to your registered contact details; you may contact us at support@vaderacapital.com.
